1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Taawoon ("Taawoon," "we," "us," or "our"). By accessing or using the Taawoon platform, including our website, mobile application, progressive web application, APIs, and all related services (collectively, the "Platform"), you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Platform. If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.

2. Definitions

• "Platform" refers to Taawoon's website, progressive web application (PWA), admin dashboard, APIs, and all related tools and services.
• "Brand" or "Agency" refers to organizations or businesses that use the Platform to discover, engage, and collaborate with Creators and Freelancers.
• "Creator" refers to social media content creators who maintain profiles on the Platform and participate in campaigns and collaborations.
• "Freelancer" refers to creative professionals who offer their skills and services through the Platform.
• "Campaign" refers to a project or initiative created by a Brand to engage Creators or Freelancers for content creation or collaboration.
• "Content" refers to any text, images, videos, files, portfolio items, deliverables, or other materials uploaded, created, or shared on the Platform.
• "Tokens" refers to usage credits consumed for searches, AI-powered discovery, report generation, and other Platform features.
• "Subscription" refers to a paid plan that grants access to specific Platform features and Token allocations.

3. Eligibility

To use the Platform, you must: (a) be at least 18 years of age or the legal age of majority in your jurisdiction; (b) have the legal capacity to enter into a binding agreement; (c) not be barred from using the Platform under applicable law; and (d) provide accurate, current, and complete information during registration.

Where applicable, you may be required to submit a Know Your Customer (KYC) application, including identity verification, media license status, social media handles, and portfolio links. Taawoon reserves the right to approve, reject, or request additional information for any KYC application at its sole discretion.

4. Account Registration and Security

You must register an account to access certain features of the Platform. You agree to: (a) provide accurate, truthful, and complete information; (b) maintain and promptly update your account information; (c) keep your login credentials confidential; and (d) notify us immediately of any unauthorized access to your account.

You are solely responsible for all activities conducted through your account. Taawoon shall not be liable for any loss or damage arising from unauthorized use of your account. We reserve the right to suspend, deactivate, or terminate accounts that violate these Terms or are suspected of fraudulent activity.

Organization administrators are responsible for managing user access within their organization and ensuring all team members comply with these Terms.

5. Platform Services

Taawoon provides a marketplace and collaboration platform that enables:

• Creator Discovery: AI-powered tools to search, discover, and evaluate creators based on audience demographics, engagement metrics, and content performance.
• Freelancer Discovery: Tools to discover and engage freelancers based on skills, portfolio, and availability.
• Campaign Management: End-to-end campaign creation, outreach, deliverable tracking, and collaboration workflows.
• Shortlisting and Curation: Tools to create, manage, and share curated lists of creators and freelancers.
• AI-Powered Assistance: Conversational AI tools to assist with discovery, brief analysis, and platform navigation.
• Content Collaboration: File sharing, deliverable management, feedback workflows, and approval processes.
• Analytics and Reporting: Creator performance metrics, audience insights, and campaign analytics.

Taawoon acts solely as a technology platform facilitating connections between Brands and Creators/Freelancers. We are not a party to any agreement, contract, or collaboration between Users and do not guarantee the outcome, quality, or success of any campaign or collaboration.

6. Subscriptions, Payments, and Tokens

6.1 Subscription Plans

Access to certain Platform features requires a paid Subscription. Subscription plans are available on monthly or yearly billing cycles, with features and Token allocations varying by plan tier. Details of available plans and pricing are displayed on the Platform.

6.2 Payment Processing

All payments are processed through Stripe, a third-party payment processor. By making a payment, you agree to Stripe's terms of service. Taawoon does not store your full credit card or payment details on our servers. All prices are exclusive of applicable taxes unless stated otherwise.

6.3 Token Usage

Tokens are consumed when using search, discovery, AI assistance, and report features. Token allocations are determined by your Subscription plan. Additional Token packs may be purchased separately. Unused Tokens may carry forward to the next billing period as determined by your plan terms. Tokens have no monetary value and are non-refundable.

6.4 Cancellation and Refunds

You may cancel your Subscription at any time through the billing portal. Upon cancellation, you will retain access to paid features until the end of your current billing period. Refunds are provided at Taawoon's sole discretion and are not guaranteed. All Token purchases are final and non-refundable.

6.5 Price Changes

Taawoon reserves the right to modify Subscription pricing at any time. Existing subscribers will be notified of price changes at least 30 days in advance. Continued use of the Platform after a price change constitutes acceptance of the new pricing.

7. User Content and Intellectual Property

7.1 Your Content

You retain ownership of all Content you upload, submit, or create on the Platform, including portfolio items, campaign briefs, deliverables, and profile information. By uploading Content, you grant Taawoon a worldwide, non-exclusive, royalty-free, sublicensable license to use, store, display, reproduce, and distribute your Content solely for the purpose of operating and providing the Platform services.

7.2 Content Responsibilities

You are solely responsible for ensuring that your Content:

• Does not infringe upon any third-party intellectual property, privacy, or other rights.
• Does not contain unlawful, defamatory, harmful, obscene, or otherwise objectionable material.
• Does not contain viruses, malware, or other harmful code.
• Complies with all applicable laws and regulations.

7.3 Taawoon Intellectual Property

The Platform, including its design, features, functionality, software, algorithms, AI models, trademarks, logos, and all related intellectual property, are and remain the exclusive property of Taawoon. Nothing in these Terms grants you any right, title, or interest in Taawoon's intellectual property. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works based on the Platform or any of its components.

7.4 Content Removal

Taawoon reserves the right to remove any Content that violates these Terms or is otherwise objectionable, without prior notice. We are not obligated to monitor Content but may do so at our discretion.

8. Campaigns and Collaborations

8.1 Campaign Terms

Brands may create Campaigns specifying objectives, budgets, deliverables, timelines, and requirements. Creators and Freelancers may receive outreach invitations and may accept, decline, or negotiate terms at their discretion.

8.2 Contracts and NDAs

The Platform facilitates the exchange of contracts and non-disclosure agreements (NDAs) between parties. Taawoon is not a party to these agreements and does not guarantee their enforceability. Users are responsible for reviewing and understanding any agreements they enter into through the Platform.

8.3 Deliverables

The quality, timeliness, and completeness of deliverables are the sole responsibility of the Creator or Freelancer. Taawoon does not guarantee that deliverables will meet a Brand's expectations or specifications.

8.4 Payments Between Users

Any payments agreed upon between Brands and Creators/Freelancers for campaigns or collaborations are strictly between those parties. Taawoon is not responsible for the payment, non-payment, or disputes related to such transactions unless explicitly facilitating the payment through the Platform.

9. AI-Powered Features

The Platform utilizes artificial intelligence and machine learning technologies to provide discovery, matching, analytics, and assistant features. You acknowledge and agree that:

• AI-generated recommendations, insights, and analysis are provided for informational purposes only and should not be relied upon as the sole basis for business decisions.
• AI outputs may contain inaccuracies, biases, or errors. Taawoon does not guarantee the accuracy, completeness, or reliability of AI-generated content.
• Your interactions with AI features, including queries and conversation history, may be processed and stored to improve Platform services.
• AI features consume Tokens from your Subscription allocation.
• Taawoon reserves the right to modify, update, or discontinue AI features at any time without prior notice.

10. Creator and Freelancer Data

The Platform aggregates publicly available data and analytics from social media platforms through authorized third-party services. You acknowledge that:

• Creator metrics, audience demographics, and engagement data are sourced from third-party providers and may not reflect real-time statistics.
• Taawoon does not guarantee the accuracy or completeness of third-party data.
• You will use Creator and Freelancer data solely for legitimate business purposes within the Platform and will not scrape, harvest, or export data for unauthorized use.
• Contact information shared through the Platform is confidential and must not be used outside of the Platform without the respective party's consent.

11. Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful, fraudulent, or harmful purpose.
• Misrepresent your identity, qualifications, affiliations, or credentials.
• Scrape, crawl, or use automated means to extract data from the Platform.
• Attempt to gain unauthorized access to the Platform, other user accounts, or our systems.
• Interfere with or disrupt the Platform's infrastructure, security, or functionality.
• Circumvent or manipulate Token usage, billing, or subscription mechanisms.
• Use Creator or Freelancer contact information obtained through the Platform for unsolicited communications or spam.
• Upload Content containing viruses, malicious code, or material designed to harm other Users or the Platform.
• Engage in any activity that could damage Taawoon's reputation, goodwill, or business interests.
• Resell, sublicense, or redistribute access to the Platform or its features.
• Circumvent any access restrictions, rate limits, or usage quotas.

12. Confidentiality

You agree to maintain the confidentiality of any non-public information obtained through the Platform, including but not limited to campaign details, pricing information, business strategies, creator analytics, and proprietary tools or methodologies. This obligation survives the termination of your account.

13. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, TAAWOON DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

Without limiting the foregoing, Taawoon does not warrant that: (a) the Platform will be uninterrupted, error-free, or secure; (b) any defects will be corrected; (c) the Platform will meet your requirements or expectations; (d) results obtained through the Platform will be accurate or reliable; or (e) any content, data, or information available through the Platform is complete, accurate, or up-to-date.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TAAWOON, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM.

TAAWOON'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO TAAWOON IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED US DOLLARS (USD $100).

Taawoon shall not be liable for any disputes, losses, or damages arising from interactions, transactions, contracts, or collaborations between Users of the Platform.

15. Indemnification

You agree to indemnify, defend, and hold harmless Taawoon, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your Content; (d) your violation of any third-party rights; or (e) any dispute between you and another User.

16. Termination

Taawoon may suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to: violation of these Terms, fraudulent activity, non-payment, extended inactivity, or conduct harmful to other Users or the Platform.

Upon termination: (a) your right to use the Platform ceases immediately; (b) your Subscription will be cancelled without refund for the remaining period; (c) your Tokens will be forfeited; (d) Taawoon may delete your account data in accordance with our Privacy Policy; and (e) provisions that by their nature should survive termination shall continue in effect, including Sections 7, 12, 13, 14, 15, and 18.

17. Modifications to Terms

Taawoon reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after such changes constitutes acceptance of the modified Terms. If you do not agree with any changes, you must stop using the Platform and close your account.

18. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms or the use of the Platform shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, it shall be submitted to the exclusive jurisdiction of the courts of the United Arab Emirates.

19. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Taawoon regarding the Platform and supersede all prior agreements.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver: Taawoon's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Taawoon may assign its rights and obligations without restriction.
• Force Majeure: Taawoon shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or internet or infrastructure failures.
